Job Description
The Counsel II attorney will work at Comerica's headquarters in Dallas, Texas, as part of a team providing transactional and strategic support to Comerica's lines of business, loan document preparation units, and loan closing teams. The Counsel II attorney will also assist with special projects and other matters as needed.
Position Responsibilities:
  • Draft commercial loan documentation (i.e. promissory notes, loan agreements, security agreements, guaranty agreements, mortgages/deeds of trust and related documents), and assist in creating and maintaining standard legal forms.
  • Provide transactional support, advice and counsel on commercial lending and other transactional matters.
  • Provide legal advice to business units regarding policies and procedures, client communications, third party documents, industry laws and regulations and other legal and business matters, and advise Comerica's officers and support personnel regarding the legal implications of proposed Comerica policies and courses of action.
  • Conduct loan file reviews (including the review of UCC and property search results), and draft default letters, waiver letters and other customer communications.

Position Qualifications:
  • J.D. from an ABA accredited law school
  • Active member in good standing with the State Bar of Texas or, if licensed in another state, able to qualify for admission in Texas within 180 days
  • 4 years of relevant experience (either with a U.S. law firm and/or in-house legal department) representing financial institutions in commercial lending transactions
  • Experience with commercial loan and other credit facility documentation
  • Experience with laws and regulations pertaining to commercial lending (including real estate lending) and business transactions
Comerica Bank Tower
8:00am - 5:00pm Monday - Friday, this position includes both onsite and remote work.
